Expression of Interest are invited for Commercial and Regulatory Consultant for Transmission Project in Odisha. Issue Date and Time: Feb 28, 2024 13:47 Closing Date and Time: Mar 13, 2024 22:59 The Present Peak Demand of Odisha is 6400 Mw; Which is Estimated to Rise Sharply to 9780 Mw by the End of 2032 Supported by Proactive Policies by the State to Promote Industrialization; Expansion of Ancillary Trade and Business Activities; Rural Electrification and Rise in Urbanization. To Ensure the Offtake of Power at the Load Centers; Odisha Power Transmission Corporation Limited (Optcl - the State-Owned Entity Responsible for Transmission of Electricity in the State of Odisha) is Considering Augmenting its Transmission Asset Base by Building Several Ehv Lines and New Substations in the Next Five Years. Optcl Wishes to Construct a 345-Circuit Kilometer 400 Kv D/C Transmission Line from Narendrapur - Theruvali - Jeypore including the Capacity Expansion of the Existing Grid Substation at Theruvali to 400kv under the Tariff-Based Competitive Bidding (Tbcb) Regime through Private Sector Participation (“Project”). The Project has been Approved by the Central Electricity Regulatory Commission; Government of India (Cerc). Ifc will be Engaged by Optcl to Structure a Sustainable and Bankable Project for the Construction; Operation; And Maintenance of the Project to be Done under Public Private Partnership Mode. Ifc-S Scope of Work Includes Detailed Technical; Legal; E&S and Regulatory Due Diligence and Advise on a Bankable Transaction Structure and Bid Process Management. In this Context; Ifc is Seeking the Services of a Specialized Team of Commercial and Regulatory Consultant that will Assist Ifc with Regulatory and Commercial Structuring as Per the Scope under Tbcb Guidelines including but not Limited to Due Diligence; Review of Commercial and Regulatory Requirements including Permits and Necessary Authorization; Prepare Necessary Regulatory Applications; Approvals Required and Regulatory Process to be Followed for Creation of Spv to be the Bid Process Coordinator; Conduct Preliminary Market-Sounding Exercise; Provide Inputs to Bid Documents including Transmission Service Agreement (Tsa); Share Purchase Agreement (Spa); Develop a Financial Model Incorporating Revenue and Cost Information to Assess the Project-S Viability and Other Commercial Inputs to Secure Project Approvals in Line with Tbcb Guidelines.
